TipaTipa - User Agreement
Introduction
Welcome to TipaTipa - the online venue where people help each other make the right purchases at the right prices. These terms and conditions relate to accessing website content and services provided by Tipa Tipa Limited (herein referred to as "TipaTipa", "the Company", "we", "us" or "our") via the domain and sub-domains of www.tipatipa.com. By using our website you (the "User") agree to be bound by these terms and conditions and the additional documentation to which they refer and link to (collectively referred to as the "User Agreement" or "Agreement").
YOU SHOULD READ CAREFULLY ALL THE TERMS AND CONIDITIONS OF THIS USER AGREEMENT WHICH CONSTITUTES A LEGALLY BINDING CONTRACT BETWEEN YOU AND TIPATIPA.
We reserve the right to at our sole discretion to amend, change, modify, add or delete any part or parts of this User Agreement without further notice. Any changes to the User Agreement will be posted on the website and will come into immediate effect. The date of the last revision can be found at the top of the User Agreement page. It is your responsibility to check for changes to the User Agreement and to review such changes. Continual use of our website and services constitutes acceptance of any changes.
Definitions
Words contained within these terms and conditions have the following meanings:
Listing - Request for information by one user to the community
Bid - Information submitted by a user in reply to a Listing
Tip - A "thank you" payment made from one user to another
Community - The Users of TipaTipa
Posting - A submission on the Community forum boards
Registration and User Conduct
In order to access the services available via our website you need to be a registered User and be at least 18 years of age. By registering to use our website and services you confirm that you are at least 18 years of age and agree that you WILL;
- Provide correct and current details about yourself during registration;
- Update account details promptly in the event of any changes to ensure that your details remain correct and current;
- Keep your password and identity details safe and secure and not divulge such details to any other party;
- Take full responsibility for all use of your account;
You also agree that you WILL NOT;
- List, post or add any content to the site that is unlawful, threatening, abusive, harmful, defamatory, libellous, offensive or that, in the sole judgement of TipaTipa, is otherwise objectionable;
- List, post or add any content to the site that infringes the rights of any third party including copyright, trademark, privacy or any other proprietary rights;
- Collect email addresses or any other contact information of other Users for the sending of unsolicited communications or any other purpose without the express consent of the User;
- Use scripts or software to gather information from, or interface in any other way with, our website or services without our express written permission;
- Intimidate or harass other Users;
- Add listings that, in the sole judgement of TipaTipa, constitute the advertising or promotion of goods or services;
- Spam Users by adding bids that, in the sole judgement of TipaTipa, are irrelevant and constitute an unsolicited communication;
- Take any action that may undermine or be considered an abuse of our user rating system;
- Use our website or services in such a way as to overburden, disable, damage or impair the operation of the website;
- Upload, post or make available any content that contains, or provides access to, software viruses intended to interrupt, destroy or otherwise harm any computer software, hardware or other equipment;
- Access, or attempt to access, any other User account or attempt to solicit information for the purpose of accessing another Users account;
- Set up duplicate or multiple accounts;
- List, post or add any content to the site with the intention of committing, promoting or encouraging an unlawful act;
- Copy, modify, use or distribute website content or trademarks that are the propriety of TipaTipa without our express permission.
Content Licence
When you list, post or add any content to our website you automatically grant, and confirm and warrant your right to grant, TipaTipa a nonexclusive, royalty-free, perpetual, irrevocable, worldwide licence (including the right to sub-licence) to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any medium.
Affiliate Links
TipaTipa reserves the right to modify links submitted to our website by Users in the form of listings, bids, posts or any other content. This includes modifying links to include our own affiliate code in order to take advantage on any applicable affiliate scheme.
Third Party Websites
This website contains links to third party websites provided by both TipaTipa and other Users. TipaTipa does not check or monitor the content of third party websites and if you choose to leave our website via one of the links provided then you do so at your own risk. TipaTipa is not responsible for the content of external websites and any link from our website does not imply approval or endorsement.
User Rating
By using our website and services you authorise us to display information to the community about listings you make and bids you submit that we herein refer to as your User Rating. Our User Rating Guide explains how the User Rating system works and it is your responsibility to check this regularly for any changes.
User Disputes
We do not get involved in disputes between Users. However, if you believe a User has committed a serious breach of the terms and conditions of this User Agreement then you may report it to us by selecting the "Report Abuse" option in the Contact Us area of the website or via the links provided on each listing and bid submission. Whilst we will attempt to deal with any report of abuse in a timely and fair manner we are not obliged to take any action and therefore offer no promises or warranties (whether express or implied) in this respect.
Tips and Tax Issues
Depending on your country of residency they may be taxation issues for you to consider if you receive income in the form of a tip from another User. It is the responsibility of every User to ensure they comply with relevant taxation and employment laws in their country of residency. TipaTipa does not provide Users with advice on taxation matters and if you are in any doubt as to your responsibility then we recommend you seek professional advice.
Privacy
At TipaTipa we are committed to protecting your privacy. Our Privacy Policy explains what information we gather about you and how this information is used. By accessing our website and services you agree to our use of information about you in accordance with the terms of our Privacy Policy.
Suspension and Termination of Accounts
TipaTipa reserves the right to limit, suspend or cancel the account of any User that, in the sole judgement of TipaTipa, is in breach of this User Agreement. We also reserve the right to modify, change, add or delete any content submitted by a User that is, in the sole judgement of TipaTipa, in breach of this User Agreement. Membership fees will not be refunded, or part-refund, in the event that we suspend or terminated your account or change or delete listing or bids you submit to the website.
Any User wishing to close their account may do so via contact us. Users wishing to close their account should note that once closed an account cannot be re-opened, personal details and account information will be retained by TipaTipa for legal reasons and that content submitted to listings, bids, forums and other areas of the website may also be retained.
Disclaimer / Liability
Nothing in these Terms and Conditions shall be construed as excluding or limiting our liability for death or personal injury caused by our negligence or for any other liability, which cannot be excluded by English law.
You will not hold us responsible for the actions or inactions of other Users. We provide a venue for people to enlist the help of other Users in their efforts to find the right products at the right price and is based on the simple concept that many hands make light work. We make no undertaking to routinely monitor listings, bids, postings or any other content added by Users and as such offer no guarantee, and you agree not to hold us liable for, the accuracy, truthfulness, legitimacy or fairness of User content and User feedback via our User Rating system.
Whilst we make reasonable endeavours to provide an uninterrupted, continuous and secure access to our website and services we cannot guarantee this and therefore make no promises or warranties (whether express or implied) about the availability of our services.
In the event of a dispute with a fellow User you release us (including subsidiaries, affiliates, officers, directors, agents and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
We (including subsidiaries, affiliates, officers, directors, agents and employees) shall not be liable to you in contract, tort (including negligence) or otherwise for any business losses, such as loss of data, profits, revenue, business, opportunity, goodwill, reputation or business interruption or for any losses arising out of your use of our Site.
Notwithstanding the above paragraph, if we are found to be liable, our liability, and the liability of our subsidiaries, affiliates, officers, directors, agents and employees, to you is limited to the total fees you paid to us in relation to using our website or services.
Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales and the Courts of England and Wales shall have exclusive jurisdiction.
